Welcome to ZECA’s ESG Data Collection Tool (the “Platform”). By accessing or using our Platform, website, or services, you agree to comply with and be bound by these Terms and Conditions (“Terms”). Please read them carefully before using our services.

If you do not agree to these Terms, please do not use the Platform.

1. Definitions

  • “We”, “us”, “our” refers to ZECA, the owner and operator of the Platform.
  • “You”, “your”, or “User” refers to any individual or organization accessing or using the Platform.
  • “Data Controller” refers to your organization, which owns and controls the data submitted to the Platform.
  • “Data Processor” refers to ZECA, which processes the data on behalf of the Data Controller.
  • “Platform” refers to our cloud-based ESG Data Collection Tool.

2. Acceptance of Terms

By creating an account, logging in, or submitting data, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and any other legal notices posted on our website.

3. Use of the Platform

You agree to use the Platform only for lawful and authorized purposes. You shall not:

  • Upload or input any false, inaccurate, or misleading information
  • Interfere with or disrupt the operation or security of the Platform
  • Attempt to gain unauthorized access to data or systems
  • Use the Platform for any activity that violates applicable laws or regulations

We reserve the right to suspend or terminate access for any violation of these Terms.

4. User Accounts and Responsibilities

  • You must provide accurate registration information and maintain the confidentiality of your account credentials.
  • You are responsible for all activities under your account.
  • You agree to promptly notify us of any unauthorized access or security breach.

We are not liable for any loss arising from your failure to secure your login credentials.

5. Data Ownership and Processing

  • All operational and ESG data submitted to the Platform remains the property of the Data Controller (your organization).
  • We act solely as a Data Processor, handling the data for the purpose of ESG analysis, reporting, and compliance support.
  • We will not access, disclose, or use your data except as necessary to provide our services or as required by law.
  • Data is stored on secure cloud servers with appropriate technical and organizational measures to protect confidentiality and integrity.

6. Subscription and Payment (if applicable)

If your use of the Platform involves a paid subscription:

  • Fees, billing cycles, and payment terms will be specified in your subscription plan.
  • Failure to pay on time may result in account suspension or termination.
  • All payments are non-refundable unless otherwise stated.

7. Intellectual Property Rights

All intellectual property rights in the Platform, including software, design, logos, and documentation, remain the property of ZECA or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms. You may not copy, modify, decompile, or reverse-engineer any part of the Platform.

8. Confidentiality

We will treat all data and information submitted by users as confidential and will not disclose it to any third party except:

  • With your consent
  • As required by law or regulatory authority
  • To our authorized service providers under strict confidentiality obligations

9. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Platform.
  • We do not warrant that the Platform will be error-free, uninterrupted, or free from unauthorized access.
  • Your use of the Platform is at your own risk.

10. Indemnity

You agree to indemnify and hold harmless ZECA, its directors, employees, and affiliates from any claims, damages, or liabilities arising out of:

  • Your use of the Platform
  • Violation of these Terms
  • Infringement of any third-party rights

11. Data Protection and PDPA Compliance

We comply with the Personal Data Protection Act 2010 (Malaysia) in collecting, processing, and storing personal data. Our detailed practices are described in the Privacy Policy, which forms part of these Terms.

12. Suspension and Termination

We may suspend or terminate access to the Platform without notice if you:

  • Breach these Terms
  • Misuse the Platform or compromise its security
  • Fail to pay subscription fees (if applicable)

Upon termination, your access will be disabled, but your data will be retained or deleted in accordance with our Privacy Policy and contractual obligations.

13. Modifications to Terms

We may update or modify these Terms at any time. The latest version will be posted on our website with the “Last Updated” date. Continued use of the Platform indicates acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Malaysia. Any dispute arising from the use of the Platform shall be subject to the exclusive jurisdiction of the courts of Malaysia.
